Does M-Powered require HW to run?

I have some old PTLE projects that I'd like to be able to work with, but of course since I made the mistake of upgrading my OS (or whatever I did) my copy of PTLE will no longer open with either my 002 or my MBOX. Given that I don't necessarily need to record anymore (at least with those two devices), I wondered if it would be smarter to buy M-Powered PTLE instead of the upgrade to PTLE for my hardware, since I wouldn't necessarily need to have the hardware with me when I was working. I actually have some M-Audio hardware too, but if the software NEEDS the hardware to run, I'll probably just get the upgrade to the 002/MBOX PTLE. Can anyone confirm or deny that M-Audio hardware is necessary to run the M-Audio version of protools?

yeah - you need hardware - but that's the whole reason I got M-Powered So I could buy a Transit and run protools on a laptop with (almost) no hardware It is basically a double dongle though (iLok AND Transit on two usb ports) and thus kinda dumb
